Definitions
Referrer: the person or company that makes a referral/refers another individual or company.
Referee: the person or company that is invited to a referral/ referred by the Referrer.
Program: the Referral Program
Agreement: the below detailed referral agreement amongst Wassenger and the customer.
General Terms
As an authorized affiliate (Referrer) of Wassenger, you agree to comply with the terms and conditions detailed in this Agreement (Agreement). Please read carefully the entire Agreement before participating in Wassenger's Referral Program.
The only purpose of participating in Wassenger's Referral Program is to legally advertise our service to other individuals or companies in order to subsequently receive a temporarily and quantitively limited commission on the subscription purchased by the referred customers.
By participating in Wassenger's Referral Program (Program), you confirm your complete understanding and acceptance of this Agreement and its terms and conditions.
Approval or Rejection of the Application
As part of the approval process for Wassenger's Referral Program, we reserve the indisputable right to reject any application at our exclusive discretion without any right to reply. Wassenger's is not legally liable for the rejection of your Referral Program application.
Commissions
Commission can be obtained by referring another individual or company to Wassenger. Commissions are limited to one (1) subscription per Referred customer. The Referrer is entitled to 25% of the Referee’s subscription value during the first twelve (12) consecutive months of the Referee’s subscription. In case the Referee changes the plan during those twelve (12) months, the Referrer will get 25% of the value of the plan that is indicated in the Referee’s invoice, and each month is calculated on that month’s own invoice. Commission accrues on paid monthly invoices only, up to a maximum of twelve (12) invoices, so any period during which the Referee’s subscription is interrupted generates no commission.
The commission rate and duration applicable to a referral are those in force on the date the referral is created, and they are not modified afterwards. Referrals created before the entry into force of the present rate remain under the previous Referral Program Terms, that is 30% of the Referee’s subscription value during the first three (3) consecutive months.
Each monthly commission is rounded down to a whole unit of the applicable currency.
Commissions are only applicable to subscription plans, therefore they are not applicable to the Referee’s purchase of additional chat agents or additional services.
Each monthly commission becomes available to the Referrer one (1) calendar month after the date of the invoice it derives from. That is that if the Referee is invoiced on day March 1st, the corresponding commission becomes available on day April 1st.
The Referrer will not receive commissions for transactions that result in chargebacks or refunds. Invoices that are refunded, voided or declared uncollectible generate no commission.
In order for the Referrer to receive commissions for the subscription of the Referee, the Referee has a maximum of 60 days from the creation of their account to the first payment. If this timeframe is exceeded, the Referrer will not be entitled to the commissions.
The Referrer cannot create new accounts to take advantage of the Program. All accounts and subscriptions that are related to the Referrer are excluded from the Program and will not be considered for commissions.
The Referrer will receive commissions only for the first (1) device created and paid on the Referee account. In case the Referee opens multiple accounts, only the first subscription of the first account will be eligible for commissions.
The Referrer agrees not to refer individuals or companies that have already been paying customers of Wassenger in the past. Subscriptions created by such a Referee are not eligible for commissions.
Accrued commissions are to be used in either one of these ways:
As credit added to the Referrer’s account balance, which is applied against the Referrer’s upcoming invoices. Credits are issued in the Referrer’s own billing currency. The minimum amount that the Referrer needs to accumulate in order to use it as credit is $5 / €5
As money that will be sent to the Referrer through PayPal in eligible countries. In case the Referrer does not have a PayPal account or is located in a country where PayPal does not operate, this option will not be available.
All payouts through PayPal will be made solely in Euros (EUR) and no other payout currency is available. The minimum amount that the Referrer needs to accumulate in order to withdraw it through PayPal is €50. Any balance accrued in a currency other than Euros is converted into Euros at the exchange rate applied by Wassenger at the moment the cash out is requested.
Each cash out is made through one (1) single method and covers the whole balance available at that moment. Partial withdrawals, and splitting one balance between credit and PayPal, are not possible.
A referral may be automatically rejected if the phone number registered by the Referee was already in use by a different user of the same account within the previous 365 days. Wassenger further reserves the right to declare a referral invalid at any point of the referral cycle where there is evidence of fraud or of a link between the Referee and the Referrer accounts. Under that scenario, those referred subscriptions will be invalid and thus not eligible to receive a commission.
Termination
Your application and position in the Referral Program can be suspended or terminated for any of the following reasons:
Suspected abuse, circumvention of the Terms and Conditions, fraudulent transactions.
Misleading or fraudulent advertisements (false claims, misleading hyperlinks, etc.).
Spamming (mass email, mass messaging, etc.).
Advertising on Meta platforms (Facebook, Instagram).
Inciting to openly transgress WhatsApp policies (spam, bulk messaging, illegal content).
Advertising on sites containing or promoting illegal activities.
Violation of intellectual property rights. Wassenger reserves the right to require license agreements from those who employ trademarks of Wassenger in order to protect our intellectual property rights.
Wassenger reserves the right to terminate the participation of the Referrer to the Program for any of the above reasons without notice and without the obligation to provide proof or explanations.
Referral Code
The Referral code is unique for each Referrer and can be redeemed only once by each Referee, at the moment the Referee creates their account.
A referral is attributed to the Referrer when the Referee creates a new account directly with Wassenger after using the Referrer’s link or Referral code. Accounts created through a reseller or a white-label partner of Wassenger are not attributed. The attribution is retained for 60 days from the moment the link or code is used. An individual or company that already holds an account with Wassenger cannot be attributed to a Referrer.
You must sign up to Wassenger in order to obtain your unique Referral code.
By signing up and obtaining a Referral code, you accept this Agreement.
Liability
Wassenger will not be liable for indirect or accidental damages (loss of revenue, commissions) due to referral tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
We do not make any expressed or implied warranties with respect to the Program and/or the subscriptions or products sold by Wassenger. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.
Term of the Agreement
By participating in the Referral Program, you accept and agree to all the Terms and Conditions described in the Agreement. The adherence to the Program determines the begin of this Agreement.
We reserve the right to modify any part of this Agreement at any time. You may terminate your participation in the Referral Program in case you disagree with the changes. Your continuing participation in the Program will constitute your acceptance of any change.
We reserve the right to terminate the Referral Program at any time without notice.
Indemnification
Affiliate shall indemnify and hold harmless Wassenger and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors, and assigns, including those licensed or authorized by Wassenger to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.
